CONSTITUTION AND BY-LAWS OF THESTATE COONHUNTERS ASSOCIATION OF MISSOURI REVISED 1/30/2010     

PREAMBLE

The State Coon Hunters of Missouri have organized themselves to support and advance the sport of coon hunting.  Including, but not limited to:  the promotion of legislation deemed appropriate to advance and support the sport of coon hunting; understanding and good will between hunters, landowners and government agencies; education of the public concerning the sport of coon hunting; and sponsoring events that advance and support coon hunting with dogs. 

ARTICLE I

NAME AND LOCATION  SECTION A:  The name of the Association shall be, State Coon Hunters Association of Missouri.  The home office shall be in Sullivan, Franklin County, Missouri. 

ARTICLE II

PARLIAMENTARY PROCEEDINGS  SECTION A:  Roberts Rules of Order shall be accepted as a basis of parliamentary procedure in all meetings of the Association. 

ARTICLE III

MEMBERSHIP  SECTION A:  Membership shall be of three types; Voting, Junior, and Lifetime and shall be limited to those persons who are interested in the sport of coon hunting, regardless of sex, race, creed, color, or religion.  Provided, however, that no member or prospective member shall advocate the overthrow of the government of the United States of America by unconstitutional methods.   SECTION B:  The annual membership dues shall be payable January 1 of each year.  Membership dues can be changed only by a 3/5 majority vote of the membership at the annual meeting or a special called meeting of the membership.   SECTION C:  Voting membership shall be limited to those members who have attained the age of sixteen (16) years, have been a member in good standing for not less than one full calendar year immediately preceding the date of any vote, and have paid their current membership dues.  The annual dues for voting membership shall be $10.00.   SECTION D:   Junior membership shall be limited to persons under the age of 16 years and shall be complimentary.  There shall be no annual dues for Junior memberships. Junior members shall be entitled to all privileges of membership except voting and holding office.    SECTION E:1.      Lifetime membership shall be limited to those persons who have met all qualifications for lifetime membership and will entitle them to all privileges of voting membership except there shall be no annual dues.  2.      Nominations for lifetime membership must be submitted in writing to the president of the Association by a member of the Association at least 90 days prior to the annual membership meeting.  From the written nominations the board of directors, by majority vote, may select no more than one name to be submitted to the voting membership for approval, by majority vote, by secret ballot at the annual meeting.  3.      The State Coon Hunters Association of Missouri shall place a full page pictorial announcement in its yearbook announcing the awarding of lifetime membership to the recipient.  It will also list all lifetime members in the annual yearbook.

ARTICLE IV

EXPULSION OF MEMBERS  SECTION A:  Any member of the Association may be expelled by a 3/5 majority of the board of directors, voting by secret ballot, for conduct by word, deed, or act detrimental to the Association or it’s principles.  Any member of the Association may bring charges against another member, in writing, to the President, within ten (10) days of the date of the cause cited in the charges.  The written charges may be emailed within ten days, personally handed to the President within ten days or mailed in an envelope postmarked within ten days of the date of the infraction.   SECTION B:  The secretary will notify, by certified mail, any member whose name is brought before the board for expulsion at least 30 calendar days before the expulsion meeting of the board.  The member shall have the right to be present and to speak at the expulsion meeting.  SECTION C:   Any member of the Association so expelled shall have the right to appeal to the voting membership for reinstatement.  The appeal shall be filed in writing to the secretary of the Association within 30 days after said expulsion.  The appeal shall be voted on by the voting members at the next annual meeting by secret ballot.  Reinstatement will be granted by a majority vote of the voting members present at the meeting.  The expelled member shall have the right to be present, and to speak at the annual membership meeting in order to state their case concerning the expulsion.    SECTION D:  Any member expelled by the Association shall be denied participation in all association activities for a period of time to be determined by the Board of Directors.

ARTICLE V

BOARD OF DIRECTORS  SECTION A:  The affairs of the Association shall be managed by the Board of Directors, which shall include officers, elected board members and appointed board members.  SECTION B:  A majority of the members present at a properly notified meeting shall be controlling on all matters unless otherwise specified in the by-laws.  SECTION C:  The Board of Directors shall meet whenever so moved by a majority of the elected board or when so ordered by the President.  SECTION D:  Notification of Board of Directors meetings shall be given by the secretary, by mail, no more than 30 or less than 5 days prior to the meeting.  SECTION E:  Any affiliated club shall have the opportunity to host a Board of Directors meeting.  No affiliated club shall host two meetings, in any calendar year, until all other affiliated clubs, who have indicated a desire to hold a Board of Directors meeting on their annual affiliation papers, have been given the opportunity to host a meeting.  SECTION F:  Any current member may be a spectator at a meeting of the Board of Directors. 

ARTICLE VI

ELECTION OF OFFICERS AND BOARD MEMBERS  SECTION A:  The officers of the Association shall be a President, First Vice-President, Second Vice-President, Secretary, Treasurer, nine Elected Directors, and two Directors appointed by each affiliated club.  SECTION B:  No member shall be eligible for nomination as an officer or elected director until he has been a voting member of the Association for two years.  SECTION C:  No member shall hold more than one office at a time.  SECTION D:  Elections shall be at the annual membership meeting.  Voting for contested offices will be by secret ballot and the order of election shall be President, First Vice-President, Second Vice-President, Secretary, Treasurer, and Elected Board Members.  SECTION E:  Nominations will be from the floor. The candidate receiving the most votes or, in the case of a motion and a second to instate an unopposed nominee by acclamation, a simple majority vote shall constitute election for the officers.  Each voting member shall vote for one candidate for each Elected Board Member seat to be filled.  Candidates who receive the largest amount of votes shall be awarded election.  SECTION F:  Terms of officers shall be for one year.  Terms of Elected Board Members shall be for three years.  SECTION G:  Each affiliated club shall appoint from its membership two persons to serve as appointed board members.  Each appointed board member shall have the power to vote and speak at any board meeting of the Association.  SECTION H:  Should a vacancy occur in the officers of the Association, except the President and the First Vice-President, through death, resignation, incapacity to serve or expulsion, the President shall appoint from the Elected Board Members, a replacement.  The appointment shall be made within 30 days of the vacancy and confirmed by a 3/5 majority of the Board at the next meeting following the appointment.  Should a vacancy occur in the office of President, the First Vice-President shall assume the duties of the President.  Should a vacancy occur in the office of First Vice-President, the Second Vice-President shall assume the duties of First Vice-President.      Should a vacancy occur in the Elected Board Members the President shall appoint from the voting membership a replacement to fill the un-expired term.  The appointment shall be made within 30 days of the vacancy and shall be confirmed by a 3/5 majority of the board at the next meeting following the appointment. 

ARTICLE VII

DUTIES OF OFFICERS AND DIRECTORS  SECTION A:  The President serves as the presiding officer and spokesman for the Association and will preside at all meetings of the Board of Directors and membership.  The President will have no power to vote at any meeting except to break a tie.  The President will appoint any committees that are necessary to carry out the business and affairs of the Association.  SECTION B:  The First and Second Vice-Presidents will assist the President in directing, coordinating, and controlling the activities of the Association.  The President and Vice-Presidents shall work closely together endeavoring to keep the lines of communications open to insure the Vice-Presidents are kept well informed.  The First Vice-President will preside at any meeting in the absence of the President.  In the event that both the President and the First Vice-President are not in attendance at a meeting, the Second Vice-President shall preside.  The Vice-Presidents shall endeavor to make themselves available to serve as chairmen of committees that the President shall deem appropriate.  SECTION C:  The Secretary shall be the corresponding officer for the Association.  The Secretary shall keep the minutes of all Association meetings and all meetings of the Board of Directors and shall maintain a record of said minutes and of any other official documents or records of the Association proceedings.  The Secretary shall keep the official membership roll of the Association and be responsible for notification of meetings as required by the by-laws.  The Secretary shall be required to pass on to their successor all records, equipment and property belonging to the Association.  SECTION D:  The Treasurer shall be custodian of all funds received by the Association and shall pay all bills approved by the board.  The Treasurer shall keep and maintain a detailed accounting of all funds received and all funds disbursed, and shall be prepared to report all financial proceedings and account balances to the Board of Directors when requested and to the general membership at the annual meetings of the Association.  The Treasurer shall be required to turn over all financial documents, records and books to their successor.   

ARTICLE VIII

MEETINGS  SECTION A:  The annual membership meeting shall be the last Saturday in January of each year, at a time and location in Sullivan, Missouri to be determined by the Board of Directors.  SECTION B:  Special membership meetings may be called by the President or a majority of the Board of Directors.  SECTION C:  Notice of annual membership and special membership meetings will be by mail.  Notices will be mailed no more than 30 or less than 7 days prior to the meetings.  SECTION D:  All business brought before the membership shall be controlled by a majority vote, unless otherwise specified in the by-laws. 

ARTICLE IX

ORDER OF BUSINESS SECTION A:  The following order of business shall prevail at all meetings of the Association:  1.   Call to order  2.   Pledge of Allegiance  3.   Reading and approval of the minutes  4.   Report of the President  5.   Report of the Secretary  6.   Report of the Treasurer  7.   Reports of the committees  8.  Old business  9.  New business  10. Elections  11. Installation of new officers  12. Adjournment 

ARTICLE X

CLUB AFFILLIATION SECTION A: Any Club in the state of Missouri may be affiliated with the State Coon Hunters Association of Missouri by meeting the criteria set forth annually by the Board of Directors.

ARTICLE XI

AMMENDMENTS SECTION A:  The constitution and by-laws of the State Coon Hunters Association of Missouri may be amended by a 3/5 majority vote at any annual membership meeting or any special called meeting for that purpose.
